On Friday, January 17, 2025, as Chair Gary Gensler's tenure at the Securities and Exchange Commission neared its end, the SEC brought two significant cases against dually registered firms concerning their cash sweep programs. These were not the first such actions by the Commission; since 2021, the SEC has pursued several cases related to cash sweep revenue sharing. These cases often involved charges of disclosure failures, misleading statements, and inadequate policies and procedures, frequently in conjunction with other revenue-sharing issues, including Rule 12b-1 fees. However, the 2025 cases are particularly noteworthy for several reasons, including the potential for similar cases in the future as the SEC transitions to new leadership.
