The playbook is expanding: Primary-focus activists are leveraging shareholder proposals as they examine the use of new tactics in their push for additional governance reforms. In 2024, News Corp was hit with this novel approach when Starboard Value, an activist better known for proxy fights, proposed eliminating the company’s dual-class share structure while soliciting its own proxies. New year, new voting guidelines. Proxy advisors Glass Lewis and Institutional Shareholder Services (ISS) have updated their benchmarks for 2025. ?? This season, Glass Lewis will have a heightened focus on AI oversight, shareholder meeting formats and time-based awards, with these changes having taken effect on January 1. Similarly, ISS has introduced 41 changes which include a terminology shift related to environmental proposals, a revised approach to short-term poison pills and adaptations to the qualitative review of performance-vesting equity awards.
