Double-Checking the Box

Welcome to this week’s news brief. Nominating and governance committees are turning their attention to an issue that has long had some board members, search experts and investors rolling their eyes: over-checked board skills matrices, in which certain individual directors seem to have more areas of expertise than humanly possible.

Sources tell Agenda that the process of probing directors’ actual expertise for the purpose of the proxy disclosure can be “touchy.” However, experts say, having those difficult conversations can be valuable in calibrating the board’s composition for the future.?Read more here.

Rooney on the Rise

More than half of S&P 500 companies disclosed using a Rooney Rule policy for director searches this year. The policies — which require candidate slates to contain a certain number of diverse nominees — have been popularized over the past decade. Sources tell Agenda, however, that while a Rooney Rule policy can be a useful tool for enhancing board diversity, to be truly effective, the board also has to have meaningful intentions to diversify itself.?Read more here.
