Formality in structure and process fosters accountability, transparency, and efficient governance - and a board culture that reflects this.
  3. Evolve: Evaluate to Improve: Stagnation is the enemy. High-impact boards continuously evolve. Regular evaluations—of strategies, performance, and board dynamics—lead to informed adaptations. Embrace change as a catalyst for improvement.


In alignment with the importance of evolution, a recent experience with clients of mine underscore the necessity for boards to adapt alongside the evolving landscape.

Two boards I lead have transitioned from purely advisory roles to more proactive engagement, responding to changes in leadership and company objectives.?

In one instance, a new CEO who is not a shareholder assumed leadership. In another, a generational transition within a family business from Generation 2 to Generation 3 is impending.?

In response, shareholders have requested the advisory boards to take on a more proactive role, incorporating elements of oversight and decision-making that were previously absent.?

This transition has been seamless, maintaining the impact of the boards while enhancing their engagement and strategic value creation. Importantly, it has kept the boards aligned with the companies’ strategic direction, addressing evolving shareholder expectations and governance needs.

Both initiatives stemmed from evaluation processes. The per-meeting evaluations and annual or bi-annual evaluations of the boards provided an opportunity to reflect on performance and consider the long-term view.?

This proactive approach to evaluation allows for adjustments to the board's structure, composition, and focus, ensuring alignment with the company's strategic moment and maximizing value creation.?

An "evolution mindset" remains critical, keeping the boards alert to changes in the business landscape and continuously seeking ways to create value.

The lesson is clear: by embracing evolution and adaptation, boards can remain efficient, effective and aligned with the company's strategic objectives.


A High-Impact Board Requires:

  1. Alignment of Ownership and Leadership: The board must share a common understanding of the organization’s identity and strategic direction. When ownership and leadership align, decisions become purpose-driven, and the board acts as a cohesive force.
  2. Willingness to Listen: High Impact Boards require that all involved have willingness to listen. Effective boards generate diverse perspectives and alternative solutions to challenges that create value for the organization.? These perspectives can only prosper in a culture of openness, transparency and open minds.?
  3. Material and Human Resources to Act: High-impact boards are empowered with resources. Financial capital, skilled personnel, and technological infrastructure enable execution. Without these, even the best intentions remain unrealized.

If any of these ingredients is missing, there will be no High Impact, and there will be dysfunction.
