Location: Chandigarh Region Reporting To: Company Secretary


Role Overview:

The Assistant Manager - Legal & Secretarial will be responsible for ensuring compliance with corporate laws and SEBI regulations, managing board and shareholder meetings, drafting essential corporate documents, and coordinating with regulatory authorities, investors, and stakeholders.


Key Responsibilities:

  1. Regulatory Compliance: Ensure adherence to corporate laws, SEBI guidelines, and other relevant regulations. Monitor changes in laws and regulations, ensuring timely compliance and implementation.
  2. Meeting Management: Organize and manage Board Meetings, Annual General Meetings (AGMs), and other committee meetings. Prepare and circulate meeting agendas, minutes, and resolutions.
  3. Document Drafting & Reporting: Draft and review essential corporate documents, including the Annual Report, Corporate Governance Report, and Business Responsibility and Sustainability Report (BRSR). Ensure the timely filing of necessary documents with regulatory authorities
  4. Documentation & Record Keeping: Maintain and update statutory registers and records as per legal requirements. Ensure proper documentation and archiving of all company-related records.
  5. Coordination with Regulatory Authorities: Liaise with regulatory bodies (e.g., ROC, SEBI, Stock Exchanges) for various filings and compliance matters. Address queries and ensure timely submissions.
  6. Stakeholder & Investor Relations: Act as a point of contact for investors and stakeholders, addressing their queries and ensuring timely resolutions. Facilitate communication between the company and its shareholders, maintaining transparency and trust.
  7. Other Duties: Support the Company Secretary in any additional tasks or projects as required.


Qualifications & Experience:

  • Educational Qualification: Qualified Company Secretary (CS).
  • Experience: Minimum 4 years of relevant experience in a similar role.
  • Knowledge: Strong understanding of corporate laws, SEBI regulations, and compliance requirements. Familiarity with corporate governance practices and reporting frameworks.

  • Attention to detail and a high degree of accuracy.
  • Ability to handle confidential information with integrity and discretion.
  • Proficiency in MS Office and legal documentation tools.
