As the year begins, we’re all making predictions about what 2024 will bring, especially after a rocky 2023. With the looming possibility of interest rates finally peaking (and maybe coming down), a lot of money sitting on the sidelines, and the expectation that many sellers who held off starting a new deal process will come to market in 2024, the ingredients are there for a busier year ahead.

Tip of the Week: Time is the enemy of all deals.?

Generally, time is not a friend to either buyer or seller, so both parties are better off trying to get a deal closed as soon as possible. There are so many unknowns that could jeopardize the deal if it takes too long to close. Here are ways to avoid hitting snags:

• Have clear agreement upfront on timelines for work streams and deadlines to close
• Negotiate as many key issues as you can upfront so you don’t get bogged down later in the process
• Build a team with the experience and bandwidth to get a deal closed quickly and efficiently, including deal lawyers, bankers, and accountants

• Every corporation, LLC, and other legal entity formed in the US needs to determine whether it is a reporting company under the act or whether it falls within an exemption
