The Supreme Court of India reinforces its stance on adhering to the legal processes involved in transferring ownership of an immovable property. It pointed out that ownership can only be transferred with the help of a registered sale deed and emphasized that mere possession or payment does not make one the owner legally.?

Understanding the Legal Framework:?

There are two central laws that direct the transfer of property in India: The Transfer of Property Act, 1882 (TPA) and the Registration Act, 1908. Under Section 54 of the TPA, the definition of sale of a property implies transfer of ownership in lieu of payment. A property valued ?100 or more needs to be transferred via a registered sale deed. This registration proves ownership of the property conclusively.??

There is great emphasis under the Registration Act, 1908 on the registering of documents pertaining to property. Section 17 indicates that registrable documents ought to be executed to have legal standing. This implies that they should not be of unsound mind, minors or persons who are under legal restrictions. The seller must also possess good marketable title to the property.?

Secondly, the property that is being sold should be expressed in the sale deed. This includes all pertinent information as to its location, boundaries, dimensions and what it contains, so that there is no question what you are selling. Third, the transaction must involve payment or consideration. Whether paid in full, in part, or promised for the future, the payment details must be documented in the sale deed.?

Fourthly, in respect of properties valued at ?100 or more, the sale has to be evidenced by a registered sale deed. Though possession is substantive, it cannot be not as an alibi for the legal requirement to register the transaction. Finally, the sale deed should mention the date on which the buyer shall take possession of the property. Although possession is an essential feature of any property sale, it does not confer ownership unless it is accompanied by a proper and registered sale deed.?

Role of a Sale Deed:?

A sale deed, also known as a conveyance deed, is one of the important documents in any property transaction that transfers ownership from the seller to the buyer in law. Once it is registered, it becomes conclusive proof of title which allows the buyer to exercise his rights in case of any dispute. Apart from confirming ownership, the sale deed provides a transparent record of the transaction by mentioning all key details-the names of the buyer and seller, clear description property, details concerning payment and terms and conditions agreed upon. Such exhaustive documentation eliminates ambiguity and establishes clarity for both parties. Moreover, registration of the sale deed acts as a public notice for the transaction; therefore, it minimizes fraud or disputes over ownership because it creates an official record that can be verified.?

There should be an exact written agreement regarding the purchase price and terms of payment-method as well as time of payment. Clause to transfer ownership must state when title will pass to buyer-typically after full payment and registration of the deed.?
