The summer is over and we are hitting the ground running

This is a great time of year in the Silicon Valley. The VCs will soon return from their summers in Europe and startup founders will be back from burning man. Q4 is always a busy time of year and it is looking like this year will be no exception.

Some updates:

The SEC has been making new rules for fund managers. In the latest big development, the SEC last week adopted controversial new rules that will substantially alter the reporting, disclosure, recordkeeping, and other obligations of advisers of private funds. You can read more about it here.

The SEC also continues to go after crypto, with mixed success. After the Ripple XRT loss, it recently won on a similar issue and settled a case alleging that sales of nonfungible tokens violated securities laws.

Curious about how to flip your non-US company into a Delaware corporation? How about tax aspects of SAFEs and convertibles? I sat down with VC Andrew Romans recently to discuss these and other issues.

Tune into the 10,000 Startups Podcast for practical startup legal advice. Last week I spoke with Tom Moore, a Palo Alto Haynes and Boone litigator, about how and why you should avoid costly startup disputes or, as Tom calls it, strategies for startup failure.

I also spoke with Phil Albert, San Francisco partner at Haynes and Boone, about patents and intellectual property in the startup context.

Finally, congratulations to my long time clients at Tao Digital (IT Services and Solutions ) on their recent acquisitions and international expansion.
