TOMS Shoes - Known for its "One for One" model, TOMS donates a pair of shoes to a child in need for every pair sold. This business model has expanded to include eyewear and coffee, showcasing the versatility of social enterprise.

Grameen Bank - Founded by Nobel laureate Muhammad Yunus, Grameen Bank provides microcredit to empower impoverished individuals, particularly women, to start their own businesses and break the cycle of poverty.

Section 8 of the Companies Act, 2013

According to the Companies Act 2013, a Section 8 company is defined as an organization whose objectives are to promote arts, commerce, science, research, education, sports, charity, social welfare, religion, environmental protection, or other similar activities goals. These entities utilize their profits to achieve their mission and do not distribute dividends to their shareholders.

Overview of Section 8 Company Registration

A Section 8 Company is a type of corporation established to promote non-profit activities, such as education, social welfare, environment preservation, arts, sports, charity, and more. This follows the provisions of the Companies Act 2013.

The essential purpose of registering a Section 8 Company is to encourage non-profitable goals, including but not limited to trade, arts, commerce, education, charity, environmental protection, sports research, and social welfare. To register a Section 8 Company, a minimum of two directors are required, and there is no requirement for a minimum paid-up capital to set up such a company.

Key Points about Section 8 Company

·?????? In India, Non-Governmental Organizations (NGOs) can be registered under the Registrar of Societies or as a non-profit entity under Section 8 Company of the Companies Act, 2013.

·?????? Profit generated by Section 8 Companies cannot be used for purposes other than charitable objectives and cannot be distributed among shareholders.

·?????? Section 8 Companies are similar to the erstwhile Section 25 Company under the Company Act 1956. As per the prevailing Company Act, these are now recognized as Section 8 Companies.

·?????? Section 8 Companies are required to comply with the provisions of the Companies Act 2013. They are mandated to maintain books of accounts, file returns with the Registrar of Companies (ROCs), and comply with GST and IT Act.

·?????? Any changes to the charter documents like the Articles of Association (AoA) and Memorandum of Association (MoA) require the government's consent.

CINI Community Initiatives

CINI Community Initiatives or CINCOMM as it is called, is a Section 8, non-profit, social enterprise. Set up in 2011, it is a sister concern of Child In Need Institute (CINI). The decision to include CINCOMM in this discussion is for two reasons; one being the formation of CINCOMM primarily follows the rationale we have been discussing so far, and also to share my personal experience of serving as the CEO of CINCOMM.

Our founder, Dr. Samir Chaudhuri, had the idea of a low cost nutritional supplement that could be used in households for women and children, to alleviate malnutrition and related issues. This idea got discussed with the folks at IIM, Calcutta and it was decided that the idea had the potential of becoming a social enterprise, but needed to be implemented at scale to deliver social impact. Thus began our journey in 2011.

The primary focus of CINCOMM is to produce and supply CINI Nutrimix, our proprietary nutritional supplement. It is a scientifically designed nutritional supplement, comprised of cereals, pulses, legumes and sugar, fortified with micronutrients to create a wholesome product, suitable for beneficiaries of all age above 6 months.

?

From the very beginning, institutional supply was considered as the principal model. So we were supplying to district governments across the state in West Bengal, and also in parts in Sikkim and Jharkhand. As a secondary line, supplying to NGOs across India through efficient logistical capabilities was set up.

?

If you notice, this model answers and solves the main challenges of a social enterprise. One, through govt. supplies gave the volumes and helped achieve economies of scale. Two, it helped us keep the prices low and affordable for the NGOs and BoP population for whom it was designed. Third, it helped us gain traction and the massive social impact through the number of lives we touched. To put things in perspective, we supplied almost 13,00,000 kg of CINI Nutrimix in the calendar year 2023.

Additionally, CINCOMM has been a vital and unique asset for CINI over the years. Through CINCOMM’s presence, CINI’s nutrition programmes are not just service based, but also provide for supplementation to enable catch up growth among the beneficiaries. CINCOMM has also provided additional financial sustainability over the years. The pivotal moment, though, came during COVID Phase I. Phase I saw a huge need for relief supplies of dry ration and nutritional supplements for women and children. Through CINCOMM’s capabilities of handling large volumes, CINI was able to carry out massive relief operations across 4 states supplying relief packages as well as nutritional supplement, CINI Nutrimix.
