Part 5: DAMA Needs your help: indications that things are still not right

An interesting development occurred during the week of 5-9 February 2018 - well a couple really - it validated our approach and showed us that there is still work to be done getting DAMA back on track.  First a short chronology:

Date/Events

2018-01-26 | Various posting are made on LinkedIn

2018-01-31 | Presidents' Council meeting called by the DAMA-I Board results in an announcement that "new bylaws" are available for a 14 day comment period

2018-02-06 | China, Melbourne, Canberra, Sydney, RMC, Georgia, Philadelphia, Chicago, Central Virginia, NCR and John Zachman, Peter Aiken, Chris Bradley sent a second letter to all DAMA-I Board position occupants requesting an immediate election and suspension of new bylaws discussion until after the election 

2018-02-07 | Zachman, Aiken, Bradley and the 10 Chapters moderate an Emergency Presidents' Council meeting at the request of the 10 Chapters

2018-02-08 | DAMA-I held an unscheduled board meeting - no minutes - subsequently a request was issued for a Presidents' Council Liaison Meeting for the exact same time as the Emergency Presidents' Council had previously been scheduled. This was no coincidence, an invitation to the original Presidents' Council meeting was sent directly to the four Chapters Presidents who are serving as board members

At the Emergency Presidents Council Meeting more than 17 Chapter Presidents participated.  A separate posting with the detailed minutes of that meeting will be published and linked here

The response was particularly troubling indicating that DAMA-I is not concerned with following its current bylaws.    An official DAMA-I communication was sent to Chapter Presidents (included in bold below)

Dear Chapter Presidents,

I’m reaching out ahead of our call later today to make sure there is no confusion the the Presidents Council meeting of today.

You might have been contacted by Peter Aiken with an invite for a meeting today which he describes to be an  "Emergency Presidents Council Meeting”.

This is a misrepresentation of the facts as Peter Aiken's call is not a PC meeting. It’s a personal initiative of him that is not related to the Presidents Council.

In the actual PC meeting this evening I will be addressing the points outlined in the agenda and will address any questions you might potentially have.  

Looking forward to having you all on the call later, Jan

The agenda for the February 9th DAMA International President's Council meeting is:

In this short communication Jan Henderyckx manages to get three things fundamentally and verifiably in conflict with the existing bylaws.

1. He signs this note as "Chair of the Presidents Council" - according the DAMA-I bylaws:

"The Presidents’ Council Chairperson is elected by the DAMA Chapter Presidents" - we have asked DAMA to produce documentation indicating that the Chapter Presidents elected Jan Henderyckx - this information has not been produced by DAMA-I

2. The email incorrectly states that the meeting in question is a "personal initiative" and it is not related to the Presidents' Council. In fact the other meeting was called for by 10 DAMA-I chapters named in the publicly posted letter that was sent to all members of the DAMA-I board including Jan Henderyckx directly. Either Jan has mis-represented the facts or does not understand how the Presidents Council is constituted and supported by the 2015 Bylaws. 

3. The act of scheduling a meeting directly opposite a chapter-initiated meeting lies in direct conflict with Jan's position where his duties are stated the bylaws as "responsible for providing communication between the DAMA International Board and the Presidents’ Council" - Jan should immediately take actions to read and understand the 2015 DAMA Bylaws as it is hard to reconcile his material omission from this communication 

The proposed bylaws (posted for comment) include only a provision for the DAMA-I board representative to serve as the PC Chair - behavior that appears to mirror Jan's current behavior.  We believe that Jan is attempting to use the proposed bylaws, not the current ones, to manage and organization the Presidents Council.  These actions must stop, as it is contributing to the governance crisis and putting obstacles in place of those trying to help DAMA get back on track.

Also, this: "III. ORGANIZATIONAL STRUCTURE DAMA International is composed of the following bodies: 1. The Board of Directors 2. The Presidents’ Council 3. The Board of Advisors" The President's Council is a separate body from the Board of directors. It has a chair. It can form committees, and do work. All the communications to the PC by the Board Liaison have been using the proposed bylaws, not the current bylaws, as the basis of governance. This is a huge issue and is leading to more confusion.

Here's the entire section from the 2015 Bylaws on the Council itself: "XIII. PRESIDENTS’ COUNCIL A. The President, or their designate, of a DAMA International DAMA Chapter is a voting member of the President’s Council. Such a designee must be a board member of the DAMA Chapter of the designating President. No designee may hold proxy for more than one DAMA Chapter. The President of the DAMA International Board of Directors is also a voting member of the President’s Council B. The Presidents’ Council must meet regularly, with meetings called by either the Chair of the Presidents’ Council, any member of the Council or any member of the DAMA International Board of Directors C. The Vice-President - Operations of the DAMA International Board of Directors is a non-voting member of the Presidents’ Council. The President’s Council will appoint an individual to record and publish minutes of all Presidents’ Council meetings D. The Presidents’ Council’s purpose is to support the presidents of the DAMA International chapters, their operations and the advancement of DAMA International through the health of the chapters. The Presidents’ Council can appoint committees of presidents and others (non-presidents) to perform tasks in support of the council’s goals. These committees will report to the Presidents’ Council and must be chaired by a President. E. Activities of the Presidents’ Council will be reported by the Council’s chair (or assistant) at all scheduled meetings of the DAMA International Board of Directors’ quarterly meetings F. No current member of the DAMA International Board of Directors who is also a chapter president is eligible to serve on the Presidents’ Council. These presidents must appoint a designate to fill their position on the Council. G. DAMA International Board members and Board of Advisors members may attend the Presidents’ Council meetings as observers" Also, this:

" I'm shocked the PEG let this go with no correction. The Bylaws clearly allow presidents to call a meeting: "XIII. PRESIDENTS’ COUNCIL A. The President, or their designate, of a DAMA International DAMA Chapter is a voting member of the President’s Council. Such a designee must be a board member of the DAMA Chapter of the designating President. No designee may hold proxy for more than one DAMA Chapter. The President of the DAMA International Board of Directors is also a voting member of the President’s Council B. The Presidents’ Council must meet regularly, with meetings called by either the Chair of the Presidents’ Council, any member of the Council or any member of the DAMA International Board of Directors" "[A] member of the Council" clearly says that the meeting of 10 chapters was a valid and official meeting.
