Last March, the Corporate Council of the Corporation Law Section of the Delaware State Bar Association released legislation proposing to amend Section 262 of the Delaware General Corporation Law in response to criticisms regarding the practice of appraisal arbitrage. Since taking effect August 1st, however, practitioners have noted that the decision by respondents to exercise the option of limiting the accrual of statutory interest is not as simple as it seems.
