Beginning January 2025, business entities registered in Pennsylvania must file an annual report with the Pennsylvania Department of State Bureau of Corporations. The change was initiated on November 3, 2022, with the signing of 2022 Act 122.
This new requirement replaces the Commonwealth's unique decennial report requirement. It also replaces the nonprofit corporation annual report requirement, which required nonprofits to file each year in which they had a change in officers. Nonprofit corporations will not need to file an annual report in 2023, but they will have a new annual report requirement starting in 2025.
