1. Engagement.? The healthcare suppliers engage NCI Consulting Group solely to develop and implement strategies and tactics utilized in positioning the Client during the contract period with Clients Group Purchasing Organizations (GPOs) and Integrated Delivery Networks (IDNs) contract period.? NCI will meet with approved GPOs and IDNs to develop tactics and strategies to protect Client profits. The services performed hereunder shall be conducted in a lawful manner and in compliance with all applicable federal, state, and local laws and regulations.? NCISS hereby agrees (i) to provide the services with the reasonable standard of care, skill, and diligence normally provided by professionals?or experts in the performance of such services or similar services, (ii) to preserve, protect, enhance and maintain the trade, business and goodwill of Client, and (iii) not to act or conduct itself in a manner inimical or in any way contrary to the best interests of Client.
