National Association of Corporate Directors - New Report Governance Challenges 2018

Each year, NACD collaborates with its strategic-content partners to provide guidance for boards of directors on a hot-button governance issue. This year’s topic, as shareholders increasingly seek to effect change at the board-level of their investment companies, is Board-Shareholder Engagement in the New Investor Environment. The resulting report provides guidance to help directors to:

• hone the skills that distinguish the boards of highly successful companies, which could serve directors well when approached by shareholder activists;
• ask key questions as they prepare for interactions with shareholders;
• consider how to communicate the enterprise’s human capital management and reporting functions to investors;
• engage with stakeholders on the topic of executive pay in a business climate that values transparency and accountability; and
• understand practical and legal considerations when meeting with shareholders.
