Boards should comprise of the appropriate balance of skills, experience, diversity and independence to inact its governance role and responsibilities objectively and effectively - King IV
The board should compromise of executive, non-executive and independent directors, it's best practice for the Chair to be a independent non-executive director.
Independent directors brings balance to the board through being impartial and objective, they enhance the debate by adding a depth and breadth of knowledge and experience.
