Over the past few years, major banks such as the Bank of America, Goldman Sachs, Morgan Stanley and HSBC have been handed fines totalling billions of dollars for using WhatsApp and other mobile messaging apps without monitoring them, which violates regulatory requirements from multiple global regulators.??

In response to these fines, many firms have completely banned the use of WhatsApp at work… but is this the right answer? The Cost Of Non-Compliance: A WhatsApp Fine Timeline??

September 2022 – The SEC Fine 16 Wall Street Firms a total of $1.1 Billion For Failing to Maintain and Preserve Electronic Communications, Including WhatsApp?

The SEC fines Barclays, Citigroup, Bank of America, Credit Suisse, Deutsche Bank, Goldman Sachs, Morgan Stanley and UBS $125 million each for failing to maintain and preserve their electronic communications. From January 2018 to September 2021, employees used messaging apps including WhatsApp on their personal mobile devices to conduct business. A substantial amount of these messages were not preserved which violates recordkeeping regulations.??

October 2022 – The FCA Questions Banks Over WhatsApp Use & SEC Scrutiny Into Wall Street Communications Shifts To Investment Funds?

In the UK, the FCA questions several firms including Deutsche Bank, Citigroup, JP Morgan and Nomura about the frequency and content of texting and messaging by their staff.???

In the US, sources say that the SEC’s scrutiny into Wall Street’s messaging app use extends beyond broker-dealers and into investment funds and advisers. The SEC’s enforcement unit sent inquiries to several funds and advisers asking for information about their policies for ‘off-channel’ business communications, along with information on past violations.?

January 2023 - Morgan Stanley Hits Bankers With $1mil Penalties For Conducting Official Business On WhatsApp And Other Messaging Platforms?

Morgan Stanley hits their bankers with fines ranging up to $1mil per employee for conducting official business on WhatsApp and other messaging platforms. This comes in response to the SEC fining Morgan Stanley more than $200mil for its unmonitored use of WhatsApp. Morgan Stanley now gives employees training sessions on situations where they should shift conversations from personal devices to official channels such as their work email.??

August 2023 - Wells Fargo, BNP Paribas, Others to Pay $555 Million in Fines For Using Unmonitored Messaging Apps?& Ofgem fines Morgan Stanley £5.4m For Failure To Record Electronic Trading Communications?

In the US, several financial firms including Wells Fargo, BNP Paribas, Bank of Montreal and Wedbush Securities are fined a total of $555 million by the SEC and the Commodity Futures Trading Commission for using unmonitored messaging apps including iMessage and WhatsApp.?The firms admitted that their employees, including senior employees, often communicated internally and externally through these unmonitored messaging apps since late 2019.???

In the UK, Ofgem fines the wholesale energy trading branch of Morgan Stanley £5.1mil for failing to record and retain electronic communications between January 2018 and March 2020. Communications were made by employees who used WhatsApp on privately owned phones to discuss energy market transactions. This is the first ever fine issued in Great Britain for firms who deal with wholesale energy products around failing to record their electronic communications.??

Predictions for 2024 And Beyond??

The actions from the SEC and FCA over the past few years have put communications compliance as a priority for regulated firms. It comes as no surprise either—in our era of hybrid and remote working, firms now use a range of digital communication channels to work, including WhatsApp and other messaging apps. The regulators want to ensure that all firms have the proper systems and controls to monitor the entirety of their communications so that no evidence of financial misconduct or crime falls through the cracks.??

We expect more fines to be handed out to financial firms for unmonitored WhatsApp use in 2024 and beyond. Communications compliance will continue to be a point of focus until the regulators feel that the industry has listened, and that no more unmonitored ‘off-channel’ messaging apps are being used for business.???

With a lot of businesses using mobile messaging apps for business purposes, there will come a point in time where the regulators will have no choice but to set out mandatory standards. The FCA are aware of the risks carried out when using devices which are unmonitored or encrypted, and the harm it can cause to the market.”?

“But it’s not just regulators such as the UK FCA.?In August 2023, Morgan Stanley was fined £5.41m by Ofgem after energy traders were found to have discussed business transactions over WhatsApp.?In its statement, Ofgem noted that the failure to record all eComms channels risked a ‘significant compromise of the integrity and transparency of wholesale energy markets’.”? ?
“If anything, I would expect increased focus, rather than less!”?

There is an interesting question that comes from these fines: why are mobile messaging apps so popular within these financial firms???

Think of the casual nature of the app and the many jokes and conversations that can be had, as opposed to the cold and official nature of emails. “Let’s be honest, whether firms allow the use or ban employees from using mobile messaging apps, it will happen. So if it is going to happen then why not just allow the use? I’m all up for employees using WhatsApp to conduct their business. However, firms must ensure that if they do allow this, they must have sufficient oversight and monitoring capabilities along with a reliable tool. All conversations, all exchanged media/files must be monitored and everything must be accessible to the employers."??
"If the use of WhatsApp is permitted, firms should ensure there is a Policy and guidelines in place which clearly articulates the expectations and what is deemed as acceptable use. The Policy should also ensure that it states the consequences for violations.?A key challenge for employers and employees will be separating out business and personal messaging, a topic which will become very relevant as we think about conduct but also privacy issues.”?
