?The US Senate Banking, Housing & Urban Affairs Committee has advanced the Empowering Main Street in America Act toward possible legislation. It contains four major provisions:

1.????? Promoting Greater Capital Formation in U.S. Public and Private Markets

2.????? Responsibly Expanding Investment Opportunities for Retail Investors

3.????? Fostering Investor Confidence in Market Integrity, Fairness, and Transparency

4.????? Holding Regulators Accountable Through Increased Oversight

KingsCrowd, the largest publication on investment crowdfunding, presented an article titled The most popular security types in investment crowdfunding. The article states that common equity makes up the most investments through investment crowdfunding by dollar amount. The article failed to include revenue sharing as a type of investment. I believe the article accurately reflects the bias in structuring offers targeted to angel investors and ignoring the average person for whom the JOBS Act was intended to benefit.


DreamSpring, a non-bank lender, publishes a bi-monthly Business Resource Roundup. Here is a LINK to the new edition.


@Arlen Meyers writes a highly detailed article titled Why is it so hard to do the right thing? That is published on LinkedIn. He draws upon several experts and commentators on the apparently growing number of entrepreneur misdeeds and the reasons why this growth continues.

?FUNDING POINT – FUNDING SOURCES #18 - EB-5

With immigration a leading issue in the current political campaigns, why would anyone want to encourage more people to come to the United States? One of these reasons is the EB-5 Immigrant Investor Program. Under this program, investors (and their spouses and unmarried children under 21) are eligible to apply for lawful permanent residence (become a Green Card holder) if they:

·?????? Make the necessary investment in a commercial enterprise in the United States; and

·?????? Plan to create or preserve ten permanent full-time jobs for qualified U.S. workers.

?All?EB-5 investors?must invest in a new commercial enterprise that was established:

  • After Nov. 29, 1990; or
  • On or before Nov. 29, 1990, that was: Purchased and the existing business is restructured or reorganized in such a way that a new commercial enterprise results; or Expanded through the investment, resulting in at least a 40% increase in the net worth or number of employees.

·?????? The current minimum investment amount is $1,050,000 unless it is within a Targeted Employment Area where the minimum is only $800,000. A targeted employment area?can be, at the time of investment, either:

  • A rural area; or
  • An area that has experienced high unemployment (defined as at least 150% of the national average unemployment rate).

?As of July 29, 2024, there are 712 approved regional centers. A list of current?EB-5 immigrant investor regional centers?by state.

?Advantages

?The EB-5 Program provides another source of capital that may be of the right dollar size if a new business will generate sufficient full-time jobs. The program works particularly well with construction of hotels or other hospitality facilities where construction jobs are replaced by operations jobs.

?Disadvantages

?This program has had challenges in matchmaking between investor candidates, regional centers, and projects. The time necessary to complete matchmaking practically excludes many new businesses. There have also been issues with quotas on the number of immigrants from different countries. The limits reset October 1.

?Recommendation

?If you have a project that may become a new business and create the necessary number of qualified jobs and can wait to start the project until all of the matchmaking has been completed, then you should check with the regional centers to explore this funding source.

As some of you know, I hold an Adjunct Professor position at the University of Denver. I have teamed with Boris in 2019 and 2024 to teach a course on International Financial Transaction – Belize that compares and contrasts doing business in the United States with the country of Belize. My co-instructor in 2019 was Vaneesha Dutra, Ph.D. and in 2024 it was Michael Jacobs. Planning is underway for 2025. Belize offers a great combination of business opportunities, tourism activities, and retirement possibilities.

LAST TUESDAY, I hosted @Kon Apostolopoulos with FreshBiz Solutions as my guest on the Successful Funding show. We talked generally about quickly establishing trust in a brand-new relationship between an entrepreneur and an investor candidate. ?Invariably, most fundraising campaigns will reach a point where it is necessary to find new investors with whom the entrepreneur has no prior relationship. The entrepreneur wants an immediate investment decision, but that decision must be based on trust.

RCI COMMUNITY FUNDS

As a member of this new company, I am working with a team of professionals to craft a new funding mechanism for revitalizing underserved communities.

Approval was given by the State of Maryland for the formation of RCI Community Funds Benefit LLC – this for-profit business is working to raise and deploy funding strategically into a series of selected communities.

In parallel, the newly formed RCI Academy corporation will offer educational programs on community revitalization.

NEXT THURSDAY, the Community Revitalization show will feature the new nonprofit – RCI Community Academy and its first educational program on Community Capital. As disinvested communities work to catch up, understanding the need for community wealth-building and how to accomplish it drives local decision-making.
