FinCen - Corporate Transparency Act - CTA "How To" written by Hue Chen

I just finished registering. I figured this very to the point guide will help others.


WHY?

  • To protect against money laundering.

WHEN DUE?

  • Existing Corps started before 1/1/2024 must file by 1/1/2025.
  • Corps started after 1/1/2024 must file within 30 days.

WHO?

  • Anyone who is not exempt. List of exemptions on FinCEN website [see below].
  • NOTE: Real estate brokers are not exempt.

HOW?

  1. Visit: www.fincen.gov/boi
  2. See if you're company exempt from reporting. If not you are required to report.
  3. File online BOIR using webform
  4. Select - Initial Report for first time filers
  5. Select the option to request a FinCEN ID
  6. Enter name of company and DBA names
  7. Enter Tax ID number
  8. Select country of formation.
  9. Address, city, state, zip.
  10. Company Applicant: Only companies that were created after 1/1/2024 need to include beneficial applicants. Info on the company applicant. Name, birthday, address, upload a driver's license or other ID. [At most 2 people can be company applicants]
  11. Enter Beneficial Owner information. Name, birthday, address, upload a driver's license or other ID. You can add multiple owners by clicking "add beneficial owner" button for each one.
  12. For the person entering data: Enter email, name and check off acknowledgement.
  13. Submit
  14. Download the confirmation page and save.




Definitions

  • FinCEN = Financial Crimes Enforcement Network
  • Beneficial Ownership Information Report = What is submitted for you to comply with the CTA.
  • Company Applicant = the person that actually filed for your company with the Secretary of State. It could be you, an accountant, attorney, etc.




Make sure you are on the official FinCEN website. Check if you are exempt or not.
