FUNDING POINT – FINANCIALS – READY TO RECEIVE CAPITAL

A small business with the intent of raising capital needs to ‘get ready’ or it will be delayed by the need to complete a number of activities necessary to conform to government regulations and tell their story properly to investor candidates.

?Yesterday, Lucas Marquardt of Precision Financial was my guest on my Successful Funding show.

??We discussed the needs and requirements for getting a small business ready to receive capital by having all of their books and records and financial forecasts in order.

?We identified four key sets of information:

·?????? Profit and loss statements

·?????? Net worth statements

·?????? Capital table, also known as an ownership registry

·?????? Cash flow projections

?Lucas pointed out that most business report their taxes using a ‘cash accounting’ system that reports income based upon the time period in which the cash is received or the cash is paid out. This preferred approach avoids the possibility of incurring a tax obligation without having the cash available to make the payment that can occur when using an ‘accrual accounting’ system.

?However, for purposes of raising capital, it may be best to use an accrual system where expenses are time paired with revenues. This is because many small businesses invest in assets that they may benefit from over a term of years. Pairing these expenses with income will show a higher profit in the earlier years of the business making it more attractive to investors who do not understand this effect.

?For example, a startup business buys a delivery van. In conformance with Section 179 of the Internal Revenue Code, the small business may expense the total purchase price in the year that the van was purchased even though the small business expects to use the van in its operations over the next five years. The immediate deduction serves the small business by reducing its tax liability in the current year. However, it also will show on the books when using cash accounting as having earned lower profits or possibly realizing a loss in the current year. An investor looking at the profit and loss statement for this small business will find it unattractive.

?When getting ready to receive capital, a small business needs to remember that it should put on its best show.

CAMP WAPIYAPI AND COLFAX MARATHON

?I will be participating in the shortest part of the Colfax Marathon on May 18th – the 5K (run, jog, walk, enjoy being outdoors) - to raise money for Camp Wapiyapi – an outdoor camp for kids with pediatric cancer that will hold camping sessions in late June (male volunteers are still needed as camper companions).

?If you are interested in also raising money through this fun event, there is still time to register and sign up to support Camp Wapiyapi.

?Party Gets Started With the Colfax 5K

?Thousands will gather on Saturday, May 18th for a 5K to kickoff Denver's largest running weekend that includes a well organized course, dogs, and race shirt.

?The finish line has food and DJ Sinna-G (on-air radio personality from 100.3 FM) to keep the party going!

?The party starts in Denver's City Park at the same spot as Sunday's Marathon. Run a PR or walk it with friends and oh yeah, dogs are invited! They will have a blast with their own bandana and hundreds of their friends!
