The Directors and Officers ("D&O") Insurance Poem
D&O plus E&O,
Insurance types that can befuddle,
Provide a company and its employees,
Much relief in times of trouble.
You can manuscript broad coverage,
To best protect your operations,
But avoid “off-the-shelf” insurance,
Or suffer future claims frustrations.
Some D’s and O’s at companies,
Simply elect to self-insure,
But soon after have a change of heart,
Once a subpoena lands at the door.
It may allege a wrongful act,
Or request some information,
It’s likely not a cocktail invite,
If labeled SEC investigation.
Fret not insurance has got your back,
Responds to countless accusations,
Stands by your side at appeals court rulings,
Until a final adjudication.
So let’s tip our hats to the one trade,
That indemnifies future loss,
Keeps you above the high water mark,
Limits your out-of-pocket costs.
