SimplyCorp is a solution that offers comprehensive and end-end management of Corporate Governance & Secretarial Compliances covering all stages of the entity life cycle.

We pioneer in managing compliances & delivering solutions to our clients through our unique engagement models and one such model is a Subscription Model and we call it Corporate Compliance As A Service (CAAS) which is our most popular service offering.

Scope of work under the CAAS Engagement

We undertake compliances under Companies Act 2013 (“Act”) & Foreign Exchange Regulations of Reserve Bank of India (“RBI”) as applicable to the Company. We ensure that in case of institutionally funded companies, the compliances as per the Investor Agreement are complied with. In case of Foreign subsidiaries, reporting as per the requirements of per parent company are undertaken. The broad scope of work covers as under:

  1. Advisory & Guidance
  2. Board Management
  3. Shareholder Management
  4. Investor Management
  5. Parent company Reporting
  6. Compliance & Reporting to the regulator

Our Standard Offerings are designed and focused primarily for:

  1. Foreign Subsidiaries which are Small & Medium Businesses (SMB’s)
  2. Institutionally Funded Companies
  3. Emerging & Growth Companies

The benefits of our CAAS Engagement Model are that:

  1. We ensure that the client company is Diligence Ready at any given point of time.
  2. We have the Subject Matter Experts (SMEs) who undertake the execution & delivery.
  3. We take full accountability for the end to end compliances
  4. We coordinate with multiple stake holders be it Auditors, Regulators, Bankers, Share Transfer Agents, Depositary Participants etc.,
  5. We provide updates on the new amendments that are notified by the regulatory authorities from time to time

Our CAAS Engagement Model covers the following:

  1. Annual Contract with a pre-defined scope of work
  2. Periodic Reporting’s
  3. Well defined Working matrix and Commercial Terms
  4. SimplyBiz Portal access to client for compliance monitoring

1.?Annual Contract with a pre-defined scope of work

In this model, we enter into an Annual contract with the client as per the specified scope of work and pre-determined commercials payable on fixed payment cycles as per the contract.

As a practice, we include only the routine activities and exclude the non-routine activities which are one-off items from the subscription engagement. This is done in order to not burden the client from commercial stand point. However, we are flexible on the inclusions and exclusions in the scope based on the specific needs and requirements of the clients.

As a part of our engagement, we not only provide Advisory services, but we also manage the end to end compliances of the Company thereby allowing our clients to be free from the burden of Compliances and concentrate on their core business.

2.?Periodic?Reporting?under?CAAS

In order to keep the client aware of the Compliance activities, we share the following reports to the clients on a periodical basis.

a. Corporate Information (CI) – beginning of the Financial year:

We share a document called Corporate Information which has the details about the Company, Board of Directors, Shareholders, Changes in Board, Allotments, Transfers, Meetings – Board and Members, Charges, Filings etc., on an Annual basis.

b. Compliance Calendar (CC) – beginning of the Financial year:

The entire Compliance related events specific to the Company and its due dates for the Financial year beginning April and ending March are listed out and shared with the client. We ensure that we set a calendar wherein we will plug in these event dates.

c. Ready Reckoner- beginning of the Financial year:

To ensure that the client is aware of the corporate actions that are permissible and non-permissible as per the Act, a Ready Reckoner prepared under applicable laws is circulated the client at the beginning of the year.

d. Maintenance of Compliance Control Sheet:

We also?maintain?a Compliance Control Sheet where we track the?applicability of various?provisions of Companies Act?to the company in specific,?monitor?the?Corporate Actions,?Book keeping?and Filing status for each client.??

3. Working Matrix & Commercial Terms

We have three?levels?of Internal?monitoring?mechanism for?Compliances:??

  1. At the primary level, we have the Engagement Managers manging the day to day compliance requirements
  2. At the secondary level, we have the Lead – Corporate Compliances who undertakes Compliance Monitoring to keep a tab on the compliance status
  3. At the highest/Top level, the Founder & the Product Head intervention takes place when there are critical issues/escalations

The working matrix specifies the following:

  1. Name & contact coordinates of the Engagement Manager & Team Lead who are responsible for execution and the details of the Product Head.
  2. Escalation Mechanism
  3. Mode of communication & working days

The team normally devotes the weekdays Monday to Friday for Execution & Client Servicing but the Saturdays are devoted for competency building and knowledge enhancement by way of internal sessions among the team.

The commercial terms of our engagement specify the Fees payable and the payment cycle – monthly/quarterly/half-yearly or Annual basis. All the payments are subject to GST.

4.?SimplyBiz Portal access to client for compliance monitoring & use of Automation Tools

We have been trying to bring in more and newer technology solutions to manage compliances, thereby help our team improve their efficiency and bring more transparency to our clients. By adapting to the new tools, we have been able to see immense benefits for ourselves and to our clients.

Some of the tools that we use are:

a. SimplyBiz Portal which is a cloud based solution which helps:

i. monitor work flow and better capacity planning

ii. document management for storing Corporate Secretarial records of our clients allowing our clients to have an online access to the Secretarial Records 24/7.

iii. execute proposals online quickly without the hassles of transporting paper documents while ensuring security and legality. It gives a completely seamless signing experience.

b. Ipro which is a Corporate Secretarial Automation tools which helps generation of various e-Forms, Board & General Meeting documents, Maintenance of Registers and generation of various reports that may be required by the management.
