Having worked in the in-house legal department of a company, I can assure that it is the most challenging part to redline and draft a contract, as most boilerplates are usually heavily negotiated by both parties. Sometimes clauses require amendments and the to and fro never ends, and therefore the essence of the clause can be impacted.
