Responding to “Joe’s” November 7 2024 question in which he asked what you thought of structuring the deal with the twist of the ‘consultation’ being part of the equation to reduce our taxable portion, your answer was correct, and you were especially correct in referring him to our firm for information on the tax consequences, especially the possibility of turning capital gains (which are generally taxed at 20%) into ordinary income which can be taxed at 37%.
We often get involved in transactions because the Seller’s CPA has never been involved in this type of transaction and isn’t sure about the tax consequences or proper structure of the deal. My advice to Joe would be “tell me what you want and I will tell you how to do it, if you tell me how to do it you might not get what you want.”
