Checklist For Conversion of Private Companies into LLP

1) Pre Incorporation/ Conversion Stage:

Company will required to hold a Board Meeting to pass a resolution for conversion of Company into LLP and authorizing any Director to act on behalf of company for converting the Company into LLP.

After passing the Resolution Company is required to file Form LLP-1 for reservation of Name of Proposed LLP.

2) Incorporation/ Conversion Stage:

After getting the approval from ROC for Reservation of Name for Proposed LLP, Company will required to initiate the Conversion Procedure and Company need to complete all the requirements for conversion of company into LLP within 60 days from the approval of Name. Company need to file forms 2 & 18 along with required documents

 3) Post Conversion Stage:

After Approval of Form 2 & 18 and receiving the certificate of Incorporation an intimation of such conversion will be required to given to ROC within 15 days in Form 14

Within 30 days of Incorporation/ Conversion we need to file LLP Agreement with Form 3 to ROC.

1) Board Resolution for Conversion of Private Company into LLP

Incorporation/Conversion stage:

A. Docs required for Form 2

1) Registered Office Proof (not older than two months)

2) Subscriber Sheet along with Consent of Contributries

3) NOC from the owner of the property to use address as Registered Office of the LLP

4) Detail of LLP(s) and/ or company(s) in which partner/ designated partner is a director/ partner

5) ID/Address Proofs of Proposed Designated Partner/ Partner

B. Docs Required For Form 18

1) Latest ITR Acknowledgement

2) Statement of Shareholders

3) List of Secured Creditors along with their consent

4) Latest Statement of Assets & Liabilities certified by auditors

5) Undertaking for assets & Liabilities

Post Conversion Stage

A. Docs Required for Form 14

1) Certificate of Conversion issued by ROC

B. Docs Required for Form 3

1) LLP Agreement
