CCL Internship for M&A Articles Series - an experience

This article series was the brainchild of Bhumesh Verma and grew to become the pet project and dream for the rest of us authors. We were clear, right from the start, that we intended for this article series to be a practical guide on the aspects of M&A. We hope we answered some of the most common questions of a new lawyer, businessman, entrepreneur, or student – basically, any person who had an idea of M&A transactions but did not understand the practicalities.??
The article series would also serve as a handy checklist, primer and revision for M&A professionals and outline potential future developments and potholes created by recent events, particularly Covid-19. Therefore, we hoped to add value for all audiences.??
Writing this article series, topic by topic, was the realization of a long-held dream. We worked together for months on different parts of the series and brought our individual understanding and knowledge of the M&A process to enrich our final output.??
We had lots of fun working on this project, interacting with each other and in general, working as a team!
We feel blessed to have had the opportunity to bring our command of the life cycle of M&A, the general process, various checklists, documentation and important communications involved in M&A, all of which have been summarized in individual articles.
Annapurna Prabhu wrote on the conceptualizing, Genesis, and Need of M&A. She also explains the economic benefits, international perspective, and issues and challenges faced in the transactions. She covered various legal aspects of M&A such as the Companies Act, 2013, SEBI Takeover code, Exchange Control Laws, the Tax regime for M&A in India, the Competition Act, 2002, and Foreign Direct Investment. She believes that writing on the legal aspects is what helped her perform better in her internships and academics while also enhancing her practical knowledge.
Amrutha Alapati had great fun writing the life cycle of M&A, the general process, various checklists, documentation and important communications involved in M&A, all of which have been summarized in individual articles. In particular, she hoped to come up with practical solutions to issues in post-M&A integration. It is her steadfast opinion that the knowledge and experience of how M&A works – is worth nothing – if the deal ultimately fails due to poor integration planning. Therefore, she directed most of her efforts in writing this book to uncover the common reasons for failures and guide the readers towards the “Success M&Antra”. She hopes it gives you as much success as it has for her.
Astha Agarwal and Aradhya Singh discuss sector specific transactions in M&A i.e., in the Public and Banking sectors specifically. They also discuss specialized transactions in M&A including where Intellectual Property Rights are involved and in Cross-Border Mergers, under the Insolvency Code for distressed assets, and under the Pre-Pack Insolvency Regime.
Swasti Patoria wrote on the shields that are necessary in M&A i.e. identifying and mitigating risk and cost in all types of M&A deals, whether domestic, cross-border or involving intellectual property rights. She especially discusses the importance of Due Diligence, a few fall back options, and vaccinating M&A against COVID-19 – an important issue that is relevant for post-Covid recovery.

Amrutha Alapati is a 5th year BBA LLB (Hons.) student of Symbiosis Law School, Pune.
