Understanding Accredited Investor Status for Entities

When considering investing through an entity, such as a corporation, LLC, or partnership, it's crucial to determine if that entity meets the accredited investor requirements. This status often grants access to investment opportunities that are generally restricted to individuals above a specific net worth or income. See last week's post on Accredited Investors.

Meeting the Accreditation Requirement

For an entity to qualify as an accredited investor:

  • Sole Ownership by Accredited Individuals: All owners of the entity must be accredited investors themselves. This means they must meet the individual accreditation criteria, such as having a net worth of at least $1 million (excluding the value of their primary residence) or an annual income of at least $200,000 (or $300,000 for joint income) for the two most recent years. ?
  • Significant Asset Base: The entity must have total assets of over $5 million. This includes the value of its investments, property, and other assets.
