AusIMM 2022 AGM in a nutshell.

The AusIMM held its Annual General Meeting (AGM) on the 26th May 2022. A quorum (minimum 20 members) was reported at 60 members attending, while the latter written response to questions stated there were some 33 questions from 17 members (including 17 questions from 4 members before the AGM). It was further stated that the AusIMM has 46 Community of Interest (COI’s) with more than 400 volunteers serving on various bodies. It is understood the total membership was stated at 13,559. These numbers reflect a very low interest rate of members in the workings and direction of the Institute. There were no calls for voting of the approval of the 2021 AGM minutes, nor the 2021 financial statement, or any other topic. The Institute has engaged the services of a specialist in corporate governance (including the AGM of a Royal Charter body). A number of questions were incorporated in the limited 1-hour AGM, with most slated to be handed over to various bodies for review, with only one review (the fate of existing MOU’s with like-minded bodies) given a deadline of the end of 2022. The CEO presented the 2021 Annual Financial Statement, and responded to many questions on the financial statement, budget and finance related procedures.

The formal minutes of meeting, along with written responses to questions were emailed out to delegates on 20th June 2022. The minutes refer to an AGM panel, though only the CEO & Chairman appeared on screen. The minutes include the prepared statements of the President & CEO. The AGM minutes and information pack are shared with the members who registered to attend the AGM. This email includes a foot-note; “For any member enquiries or further information on the above, please contact us at [email protected]

The AGM mentioned the expansion and success of the formal Perth office, and considerations are to open offices in Queensland, and possibly in NSW. There is no formal legal structure in China, though the Institute has a partnership to collaborate with the Global Mining Association of China (GMAC). The Hong Kong entity is being wound up. There was no further news on the pending Indonesia legal registration. There was no report on the effectivity of the two-year old International Representatives program.

There were many good features about the AGM. The revised nature of this AGM suggests a trend away from inclusiveness.?

Agree. Something is changing. I was advised by a clerk that I could do all my 150 hours per 3 years of professional learning by just registering for on-line seminars, etc. Totally impractical and subject to rigging, as all I would have to do is log onto a computer link and then wander off to do something else. Fact that management skill maintenance requires face-to-face discussion and mine visits, etc. completely escapes the bureaucrats.

Thanks Ian Clause 32.5 of the By-Laws provides that ‘Meeting may be held in more than 1 place, provided that the technology used enables each participant present at all places the meeting is held to clearly and simultaneously communicate with every other such participant’ I was on line for what was called the AGM but I could not find any functionality that enabled me to clearly and simultaneously communicate with any other participant. Perhaps I missed soem button somewhere that would have led to that functionality. It would be great to hear form other attendees to see if they found it.
