This November, our team will be supporting over 300 meetings including AGMs, Schemes, EGMs, Annual Member Meetings and Ballots across Australia & New Zealand.?

Throughout the 2022 AGM Season, shareholders have made it clear they are appreciating the opportunity to meet with their Board and management in meetings with a physical component.?

AGM questions have focused on cyber-security and we anticipate the topic will be common throughout the entire season. To mitigate this, we recommend our clients to address cyber-security in their speeches, or have prepared answers for the Chair, in anticipation of the questions.

Before your AGM

Remember to provide the content of any prepared announcement, that will be delivered at the meeting of security holders, to the ASX no later than the start of the meeting (ASX Listing Rule 3.13.1).??This includes any address prepared by the Chair or CEO.

Furthermore, make sure to allow time, prior to your meeting, to release the announcement on the Markets Announcement Platform.

Remember to invite your auditor

Make sure you auditor is invited to attend your AGMs. This is a requirement of the Corporations Act (Section 250RA) and is a strict liability offence.

You must provide reasonable opportunity for shareholders to ask the auditor questions relevant to:

• the conduct of the audit,
• the preparation and content of the Independent Auditor's Report,
• the accounting policies adopted by the Company in relation to the preparation of the financial statements,
• the independence of the Auditor in relation to the conduct of the audit.

After your AGM

Remember that the results of the meeting (in the format prescribed by the Listing Rules and the Corporations Act) must be lodged with ASX immediately after the meeting has been held (ASX Listing Rule 3.13.2).??
