Aggregate Liabilities - is this Perfect?
Aggregate Liability Clause: The total aggregate liability of the Contractor under this Agreement, whether arising out of innocent breach of contract, tort (including passive negligence), or otherwise, shall not exceed the total amount paid to the Contractor under this Agreement. Exception: Such Cap on liability shall not apply to (i) losses and damages to the extent covered by the insurance Contractor is required to maintain under the Contract, (ii) claims caused by the Contractor’s fraud, gross negligence, or willful misconduct; or (ii) any other statutory or other liability that cannot be excluded or limited under applicable law.
