5 questions for the Qantas Board

Australian Shareholders' Association has been asking questions about Qantas' board actions in relation to the ACCC investigation and steps taking in approving vesting of awards to the departing CEO.

We are asking:?

  1. Was the Board appropriately oversighting organisational performance including risks?
  2. When did the Board become aware of the ACCC investigation and the prospective fine? What CEO pay decisions were made while this information was available to the Board??
  3. Did the CEO contract include the ability for clawback if he breached legal obligations??
  4. Was the incoming CEO aware of the issues before starting in her new role??
  5. How will the new CEO ensure the right culture is in place to drive organisational performance, meet consumer expectations and lift staff morale??

Clearly, the company needs to restore trust in its brand with consumers, staff, and investors by providing operational excellence and ensuring strong customer service.?

All will be revealed in the remuneration report in the full annual report which is due soon. We will be asking questions at the AGM in November.

I think we already know, or at least strongly suspect the answer to many of these questions. As the incoming CEO is the ex CFO and the CCO before that, she very obviously would have had line of sight to the issues prevalent to the discussion today.
