Great guide for everyone (licensors, auditors and even licensees!). Thanks for sharing!Couple of things I would like to emphasize upon- 1. Tier-based approach is always a win-win card! Right level of effort at the right places. 2. Continuous monitoring (aaS) is what the world is moving to. It will gain a lot more traction in Royalty reviews world very rapidly. Specially for top-tier licensees. 3. In real world, keeping the Royalty agreement language risk proof yet simplified can make life of all the involved parties (licensors, licensees and auditors) much smoother!

Tomas Geerkens building trust is crucial for long term licensing relations. In my China experience unfortunately traditional audits never revealed the true state of the relation. I had cases where only after years of relations licensor discovered misdeeds of licensee, like registering utility models or designs for a licensed patent!!! And then they stopped paying royalties. So many stories!! In China I started recommending and conducting secret audits to catch the licensee red handed. But this means the licensor had not done the work well at the beginning!
