Today, the IFSCA released a consultation paper on ‘Review of IFSCA (Fund Management) Regulations, 2022’ and has sought public comments on the proposed amendments (comments to be provided by August 26, 2024). Summary of key proposals for Restricted Schemes (Non-Retail Schemes): a)???????????The provision on filing PPM 21 working days before launch is proposed to be removed. This is in line with a circular issued by the IFSCA earlier this year (which enabled green channel issuance). b)???????????Period of validity of PPM is proposed to be extended from 6 months to 12 months from the date of filing with the IFSCA. It is also clarified that the first close of the scheme will need to be held within this 12-month period. Notably, SEBI also provides a period of 12 months (from the date of SEBI communication for taking the PPM on record) for declaring first closing. c)????????????The concept of joint investors, in line with SEBI AIF Regulations, is proposed to be incorporated for Restricted Schemes. This is a welcome clarification since many investors are exploring to invest as joint investors (which effectively enables two investors to cumulatively contribute the minimum investment amount). d)???????????Similar to the AIF Regulations, it is proposed that certain conflicted transactions will need a prior approval from 75% investors. e) 10% cap on sponsor commitment is proposed to be relaxed in select scenarios. This will provide a much-needed relief for captive funds of offshore managers.
