ALTERATION OF ARTICLE Section 49(1)-CAMA 2020 Articles of association (AOA) as I have discussed earlier is the other constitutional document that regulates the rights of members and the manner in which the internal affairs of a company is governed. It can be altered by passing a special resolution at a general meeting or by submitting a written resolution to the board of directors of the company. The methods and steps to achieve this include: 1. A call of general meeting; passing a specific resolution with 75% majority, filling a certified copy of the resolution with the registrar. 2. ?Written resolution; all eligible shareholders must sign the resolution. A company may, subject to the provisions of its memorandum, by special resolution, alter its articles. Any alteration must however, be lawful and bonafide for the benefit of the company as a whole.Alteration must not be so as to give the majority advantages over the minority shareholders. 1. The alteration must conform with the company’s act. 2. ?The alteration cannot increase the liability of the shareholders or members of the company. 3. ?it cannot alter the rights of the shareholders in a discriminatory way against the minority shareholders. 4. ?The altered AoA and copy of the specific resolution must be given to the company house within 15 days of the resolution being passed. 5. ?AoA defines the rights, duties and powers of the officers and internal regulations of the company. Section 53(1) of CAMA Subject to the provisions of this act and to the conditions or other provisions contained in the memorandum, a company may, by special resolution, alter or add to its articles, including delegation or modification of the provisions stated in section 27(1)(a-d) Legal Effects of MoA and AoA Both MoA and AoA when registered, shall have the effects of a contract under seal between the company and its members and officers under the memorandum and article of association. 1. The company is bound to the members in their capacity as members. Thus in Fender v. Lushington, where a member was not allowed to vote. It was held that the votes must be counted as failure to do so amount to a breach of his personal right as a member. 2. ?The member is bound to the company. See Hickman v. Kent or Romney Marsh Sheep Breeders Association . 3. ?The contract is enforceable among the members interest. See Rayfield v. Hands 4. ?The MoA and AoA constitute a contract between the company and its officers, members and officers themselves. The article does not constitute a contract between the company and an outsider. See Eley v. Positive Government Security Life Association Ltd where the court held that the article which Eley contributed greatly to write to include that he would be made the company solicitor did not create any contract between Eley and the company. That Eley can only sue in the capacity of a member, not as solicitor, for the company never employed him as its solicitor. KTM IFELAW, I BELONG!
