Through this acquisition, BLACKROCK, the world's largest asset manager (based on ~$10.5T of total AUM) powers further into private market asset and wealth management data and analytics, empowering managers and investors globally to make smarter decisions in the fastest growing segment of asset management. According to industry sources, alternative asset classes are expected to reach ~$40 trillion by 2030. As institutional and wealth investors increase allocations to alternative?asset classes and strategies, BLACKROCK's investment in private markets (products, indexes and data & analytics) enables it to serve both institutional and retail investors with increasingly relevant and standardized data, benchmarks and related analytics to facilitate into all-important selection, monitoring, reporting and performance evaluation decisions. Under the terms of the agreement, BLACKROCK will pay ~16.0x 2023A revenues, ~13.3x 2024E revenues for a business that has been growing its own revenues over the last 3-years at rate of ~20%. BLACKROCK will fund the acquisition with up to $3.0B of incremental debt plus available cash. Should it utilize all $3.0B of debt, its own total Debt/Ebitda ratio will expand to ~1.4x, still relatively modest (it currently houses a cash war chest of more than $9.0B). The parties have identified significant synergy potential especially in the area of revenue cross-selling opportunities. BLACKROCK feels comfortable representing ~18.0% internal rate of return ("IRR") with the realization of such synergies, an investment result that would be materially in excess of its current internal cost of capital. This conviction, and Prequin's own ~20% annual revenue growth rate, no doubt was needed for the Acquirer, current trading in the market at ~6.5x Revenues, 16.5x Ebitda and almost 20.0x earnings to pay a revenue multiple of nearly double its own for the Target.
