Whether a dental practice or DSO should be operated with a focus on short-term results or with a focus on the long term is a question of values, not just economics. Many private equity firms and the financial professionals who work for them believe that they can be run for both simultaneously. A lot of successful dentists and dental hygienists who work in independent private practices think otherwise. After all, patient trust is fragile. When it comes to DSO affiliations, mergers and acquisitions, my experience leading such an organization taught me that misaligned value systems is where a lot of conflict tends to occur. How much EBITDA or profit an independently run private dental practice has today isn’t indicative of its values being aligned with a DSO tomorrow. To be effective in a DSO affiliated dental practice, a clinician’s values and that of their team must be compatible with the DSO’s values. They do not need to be the same, but they must be close enough to peacefully coexist. Otherwise, the clinician will not only be frustrated but also will not produce the financial results which they have been historically known for. This is why high-producing dentists and dental hygienists in an independent private practice can become low producers following a DSO affiliation, merger or acquisition. It’s not that these clinicians suddenly got worse at performing routine dental procedures. No amount of clinical or skills-based training will solve for misaligned value systems that have a direct impact on organizational climate and clinician morale. #SinaAmiri #healthcare #dental #humanresources #management

RASK's attorneys, Karl Erik Esko, Karl-Kristjan Kahm and Ken Kaarel Gross advised Estonia's leading private healthcare company Meliva Eesti on acquiring dental care services provider City Clinics ?? RASK Attorneys-at-Law advised the client in all aspects of the transaction, including negotiations, preparation of transaction documentation and merger notice. Following the acquisition, the company's existing key personnel will remain, and operations will continue under the Meliva name with an approximately 80-member team. The acquisition will take effect upon receipt of merger clearance from the Estonian Competition Authority ??. Marja-Liisa Alop, Chairwoman of the Board of Meliva, said that the integration of City Clinics into Meliva is strategically significant. "Dentistry is one of our main fields of activity, and I am happy to welcome renowned professionals into our ranks. We are united by a commitment to quality and patient-centered approach," stated Alop. Following the transaction, Meliva operates 24 clinics across nine cities in Estonia. In addition to dental care, the company offers specialised medical care, occupational health, and mental health services, positioning itself as a provider of comprehensive healthcare services. Meliva employs approximately 800 people, and last year, the clinics registered 330,000 visits. The company is part of Mehil?inen, a Finnish healthcare company with over a century of experience in the field. According to Karl Erik Esko, both Meliva and the sellers can be satisfied with the deal: "Transactions in the field of dentistry require a special approach, as the understanding between the parties to the transaction, both during the negotiation and afterwards, will largely determine future success. It is gratifying to note that in this transaction, the rhythm of mutual cooperation was maintained from the start of the negotiations to the signing of the agreements.
