German-based HOCHTIEF and Madrid-based Grupo ACS are merging their US operations, Flatiron and Dragados, to form?what would be the second-largest domestic heavy contractor in the US, behind Kiewit. Peter Davoren, CEO of Turner Construction, will serve as chairman of the new firm, Flatiron Dragados, with Flatiron’s Javier Sevilla Roca as CEO. The move strengthens the link between European construction expertise and booming US infrastructure projects. ACS will hold 61.8% of the new company, with Hochtief controlling the remaining 38.2%. The combined entity will operate in twenty-four US states and eight Canadian provinces, with a backlog of $17.2 billion and 2023 revenue of $6.1 billion. This merger promises significant growth and innovation across North America's infrastructure landscape. ACQUISITION IS GO????????????????♂?????????: SigmaRoc plc, the London-headquartered buy-and-build building materials group, has exercised its call option lodged on 22 November 2023 and entered a share purchase agreement {SPA) to acquire the Polish lime operations of Irish construction product giant CRH for €100 million (around ￡85mn). The acquisition is expected to be completed by the end of September 2024, subject to receiving Polish Competition Office Clearance (PCOC). As announced on 23 November 2023, alongside the conditional acquisition of CRH's lime businesses in Germany, Czech Republic, and Ireland (Deal 1 Targets), SigmaRoc entered into call options, which granted it the right to acquire the UK Target (Deal 2 Target) and CRH's lime operations in Poland (Deal 3 Target) at a future date. Following the acquisition of the Deal 1 Target on 4 January 2024 and Deal 2 Target on 27 March 2024, SigmaRoc has now exercised its call option and entered into the Polish SPA. ? The new acquisition includes CRH's Polish lime and limestone flour production, associated distribution network, and Polish assets. It's been over 1.5 years since we were given the mandate to identify and execute the City of Port Phillip #Public Space Strategy #acquisitions, primarily by deploying the Open Space contributions. ? After countless hours of reviews, briefings, research, visits, negotiations, unanimous resolutions to proceed, and then more negotiations, we have successfully acquired over 17,000 m2 of #property across the municipality. ?? Further, unlike our peers in the growth areas, as an inner-city #Council, we can't create much needed new public open space out of thin air by paying peanuts. ?? ?? Considering that 97% of these acquisitions were off-market voluntary, 1.6% were on-market, and 1.4% were compulsory, it clearly demonstrates our preference and ability to make reasonable win-win deals. ?? It's been an eye-opening journey, as it turns out that the Highest and Best Use is not what some lame and stale spreadsheets say it is, but actually what the #community decides it is. ? Being one of the most densely populated yet one of the most livable #LGA in the #State doesn't happen by accident. Today CRH announced results for the first quarter of 2024. It was a busy quarter on the development front with plenty of deal activity. We completed our $2.1bn materials acquisition in Texas and reached a binding agreement to acquire a majority stake in Adbri in Australia for $0.7bn. We also concluded the first two phases of the disposal of our European lime business. CRH also completed seven other strategic bolt-on acquisitions in the first three months for $0.1bn. In addition, in early April our Americas Materials Solutions business made its first entry into California through the acquisition of a vertically integrated aggregates, asphalt and readymixed concrete platform. All of this activity demonstrates our approach to value creation through active portfolio management and the continued development of our integrated solutions strategy.?It’s also the culmination of a huge amount of hard work and effort from so many people and teams across CRH and my thanks to everyone involved. ?? https://lnkd.in/exXDNsye
