At Tuesday's Ordinary Meeting, I presented a motion to revamp TRC's financial reporting. As leaders of our council, councillors will be empowered to make strategic decisions with all the information. If approved, the monthly summary from the finance department will include comprehensive data, trends, forecasts, and challenges we may face. This will give councillors a clearer understanding of our financial landscape, enabling us to make proactive decisions for the benefit of our community. While our current reporting is extensive, it often reflects a snapshot of our finances rather than future projections. That could have been one of the areas that went wrong for Fletcher Building in recent years - the number of divisions, managers, CEOs and beauracracy that creates. Investors aren't investing in each division, they are investing in the entire group, so the costly effects from a complex corporate structure are borne by them. It is almost like an externality that is not connected to any specific division or part of the company, but affects the whole. In addition to the above potential inefficiencies, the convoluted corporate structure appears to be partly a product of history and partly also an attempt to capitalise, over time, on 'rent-seeking' opportunities within the construction industry. So the logic of the structure is/was that it mopped up any extra value that was floating around in and between it's operations. This is a valid strategy in the medium term but is not a coherent overall long term strategy for any company. Firstly, many other strategic focuses and structures could have been formed instead which promise more sustainable long-term performance opportunities. Innovative structures, sustainability, technological innovation and strategic Joint Ventures are all areas that could protect and enhance long term value for shareholders. Accumulating business units then selling them off when finances are low is a simplistic strategy followed in the 1980's and 1990's which has less favour today.
