True story. Two 50/50 partners I work with have built a great manufacturing business over two decades ($4mm ebitda with lots of grow opportunity) and they almost made a decision that could have easily cost them over $10 million. It was inconspicuous. One of the partners was ready to sell half his stock to a family member who is training to take over as GM. The family member would essentially own 25% of the company. "I'll sell him half my stock on a note and we'll just make distributions to help him pay back the loan to me" was what the exiting partner (we'll call him Bob) told everyone was the plan. Seems straightforward, right? But, Bob's long-time partner called me because something felt off about this. He asked me to explain how it would impact him. Here's what no one was seeing... For every $1 the business would distribute to the new GM to pay his note, the business would need to distribute $3 to the other members. And this is ON TOP OF tax distributions. It was a double whammy. Some excel math quickly showed the plan sucked all the growth capital out of the company. And for a company that has so much growth runway ahead of them, it would cost the remaining partner over $10 million when it came time to sell his part of the business (50% of what he was expecting). What's the lesson? Random thought on confusing variable comp plans... If you can't see a clear path to the money on each sale based your commission program, then it is likely that total company commissions are capped, and have become a part of the "budget" given to your division President along with copy paper, paper clips and toilet paper for the building, and the program was designed to keep "sales expense" within a certain limit. Just sayin'. Happens to most large, multi-divisional public corporations that grow the top line through acquisitions, and capitate / cut expenses (including commissions) to remain profitable for Wall Street. How ironically counter productive.
