With any business, there are multiple approaches to value and that approach should ideally be predicated on the objective. For example, Book Value is generally regarded in family succession planning, Market Value is generally used in third party sales, and so on. The reality of Intrinsic Value within the business sale process is that everyone involved is using some form of this methodology, but metric is more difficult to measure. The single most effective question is usually, how can you prove it? The right intermediary should be able to articulate the answer.

Education is important when it comes to collateral in business lending. The common misconception is that every bank lends on business acquisitions. Not true. If there is no private money available and the borrower does not have collateral to back the loan dollar-for-dollar, the only option tends to be the Small Business Administration (SBA). This pertains to deals under $5MM. Investment banks and private equity can also be utilized, but those options are generally interested in opportunities with $2MM+ in adjusted earnings.
