Last night the housebuilder Bellway Homes revealed a ￡650 million all-share approach for its rival Crest Nicholson plc. The Crest Nicholson Board had rejected this approach, at an 18.8% premium over last night's closing price, as it undervalued the company. Indeed, it's worth noting that the average premium in the housebuilding sector over the last 5 years (over ￡500 million) was 32.9% (see table below). There was one low premium deal, Vistry's offer for Countryside (at 4.4%), but the parties justified that price with sizeable synergies and strong shareholder support (39% hard undertakings). Regardless, with high interest rates sparking consolidation in the sector, Bellway might be tempted to come back with a higher bid. #manda #mergersandacquisitions #housebuilding #londonstockexchange

Kier Starmer has certainly thrown some uncertainty towards Landlords hasn’t he, however I’m not too concerned and my strategy will remain the same. Buy property, develop them in to luxury co-living HMOs (Houses of Multiple Occupation) and rent these out to professional tenants. A HMO portfolio can yield a rental income that is up to three times higher than traditional buy-to-let properties. So if, and when our tax implications change, or something else is thrown at SME Landlords, my portfolio should survive. “Where would you recommend that I buy my HMO?” “I’m keen to invest, I have the capital ready and I have started looking at areas but I’m unsure of where to focus on” I hear these phrases most days and get asked every week, “where would you buy, are there any hot spots or sweet spots for yields and demand?”. The answer is usually the same. Without knowing what product you need to create in any area to best suit the target tenant base and fulfil that requirement and without having a trusted management structure locally (and build teams, PMs, surveyors, architects, designers, stagers, etc if you’re looking to create a new HMO), the numbers of any spreadsheet and deal analysis become pretty irrelevant. You can buy in the most amazing HMO hot spot and still get it wrong if you don’t have the right product or people around you, or if you’re creating a product to suit you and not the tenants (see previous posts about creating white-elephant HMOs that don’t solve a local housing need and only tick the BRRR box). The honest answer is that HMOs are NOT WORKING EVERYWHERE just as much as they are working everywhere. There are loads of developers/landlords struggling to hit the numbers that they expected in Derby, Peterborough, Warrington, Liverpool, Bolton, Salford, Portsmouth, Plymouth, Croydon, Newcastle, Notts, Preston, Brighton or whatever… And there is a large percentage that are excelling in the same areas. The main difference between the successful and underperforming is that the good ones, from product to management and value, solve the local tenant requirements and meet the needs of the target audience. When I travel around the country visiting events and meeting landlords, I can’t help but be aware of the fact that all of the ‘local landlords’ bemoan and ridicule the ‘outsiders’ coming in and overpaying (via a sourcer) for their C3, spending too much on their refurbs and having false expectations over their ongoing rent roll and HMO performance. Getting into the mindset of a local landlord who understands the nuances of your chosen area seems to be one bit of good advice.
