INTERNAL AUDIT & COMPLIANCE? TRY IF YOU CAN! ?? When it′s about collaboration, I am all in. When it′s about life in general ?? . But even more when it′s about #internalaudit and #compliance . I LOVED sharing my thoughts at European Compliance & Ethics Community (ECEC) on why I believe audit and compliance area great match, alongside my great colleague Vera Cherepanova. Here are my two cents on WHY I believe it′s a great match (and yes, this is real-life practice speaking ??), and what it takes to make it work: ? Both roles can serve as a positive perception multiplicator. WHY? Because we share the same inherent perception disadvantages of being fun spoiler, business blocker, and the most boring colleagues on earth. Know what? We can prove them all wrong! By actively promoting a common story: we are here to support you in building a better, safer organization. And yes, being friendly and business minded doesn′t do any harm either??. ? We can cross-fertilize our respective work. WHY? Because each role can put so much more focus into its respective activities when KNOWING what are the key issues identified by the other. Be it compliance training, audit topics, and more. ? We can make the life of the Board so much easier. WHY? Because we can coordinate on topics, risks, reports, messages.... by dissecting who reports to whom, about what, and when. And that helps Boards having a more structured discussion and saves everyone′s time and energy. ? We can de-risk the accountability sink. WHY? Because by avoiding that everything remains vague when it′s about the nasty to dos, we can ensure that stuff is getting done. Instead of passing the buck, when no-one is held accountable. ? We need Board buy-in - and that requires full management buy-in. WHY? Because Board members who are used to a more segregated, siloed approach need a lot of convincing ("we haven′t seen such collaboration elsewhere" ??). To overcome such obstacles, you need senior management in your team. ? We need the buy-in of everyone else. WHY? Because EVERYONE in an organisation must feel safe when they interact with internal audit and compliance. Because information shared with us often is highly confidential, sometimes private, never easy. So we need to build the trust that people can feel safe with us. And that requires transparent communication, primarily about who does what, and who does NOT get which information. Share and divide, if you will ?? . There are zillions of other good arguments as to why - IMHO - it′s totally worth trying in case regulation permits. On a separate note, I would have loved being on stage in the Munich studio, mingling with the live audience, meeting the other speakers, exchange on all things compliance, and have a good laugh here and there. Sadly, not possible this time - hence me on screen. Note to self: you can get it if you really want ??. Legal Risk Management in Intellectual Property Protection: A Case Study of Coca-Cola’s Flavor Coca-Cola's flavor is one of the key factors behind its long-lasting success and distinctiveness. This uniqueness is based on a strategic decision made by the company regarding how to protect its flavor formula. While intellectual property laws offer two main protection options – patents and trade secrets – the company chose to protect Coca-Cola's flavor through trade secrets. Although Coca-Cola could have registered its formula as a patent, a patent offers legal protection for a specified period. However, this would require the company to fully disclose the details of the formula and its preparation method. Such disclosure, even with legal protection, means that competitors could access the recipe once the legal protection period expires, potentially endangering the product’s distinctiveness. Additionally, in order to continue protecting the flavor as a patent after the protection period ends, Coca-Cola would have to change the flavor or add something new to differentiate it, which could be a risky move with uncertain outcomes. Therefore, the company relied on trade secrets to keep the formula undisclosed, implementing strict measures to ensure it is not leaked. The decision to choose trade secrets was a result of careful analysis of the risks and benefits associated with each option. Maintaining confidentiality allows for indefinite protection of the product, reflecting a long-term vision that safeguards the product’s market position. However, this approach requires meticulous risk management, involving strict access controls, secure storage of the formula, and the use of non-disclosure agreements to ensure full compliance from all parties involved. This approach clearly demonstrates the connection between law and risk management, where the decision was balanced between benefits and risks. Although a patent was a viable legal option, Coca-Cola realized that maintaining confidentiality was the best way to ensure its continued success, uniqueness, and protection from imitation. The success of legal decisions heavily depends on a thorough understanding of the business and the product, as well as a careful evaluation of potential risks. Coca-Cola’s decision was made with careful consideration to ensure long-term protection, avoiding the risks that might arise from disclosure. General counsel and chief compliance officers must build relationships across the company when times are good to earn the trust they'll need to navigate the business through future compliance and ethical challenges. That was a theme of Monday's opening keynote at ALM Global's two-day General Counsel Conference East at the Marriott Marquis in Midtown Manhattan. Discussing the topic with ALM's Heather Nevitt were Visa Chief Ethics and Compliance Officer Obi M. and Front-Line Anti-Bribery CEO Richard Bistrong. “Trust is at the heart of what we do,” Madubuko told an audience of 300. “The thrust of our jobs is when things in the business go right, because that’s when we gain trust within the company.” Bistrong brought a unique perspective to the discussion. While working as an international sales executive for the military equipment manufacturer Armor Holdings early this century, he was implicated in a bribery scandal. After agreeing to cooperate with investigators, Bistrong reached a plea agreement and served a 14-month prison sentence. He started his consultancy after his release in late 2013. In Monday's keynote, he said, “People are torn between corporate objectives and compliance requirements. The task is finding a way to inspire business peers who are focused on capturing their market share while keeping them complying with the laws.” Madubuko said compliance officers can help keep companies on the right side of the law by developing a deep understanding of regulators' expectations while also looking at the company's operations the way a businessperson would. "As a compliance officer, you have to take off your legal hat and strive to understand the business of the company from the business perspective,” she said.“You build trust when others see that you’re giving the best possible advice for the business, because then they’ll see you as part of the solution and not the problem.” Full story from James Palmer: https://lnkd.in/ewFqS2pd

Love my job. So much so I don't normally hit the bottle at 5.22pm (yes, I have had jobs like that in the past!).
