A worth watching debate among the #SEC Commissioners about the redefinition of #Dealer (another 3-2 votes approving the change). Some near-term and historical contexts for your reference: #FSOC pushes the U.S. Securities and Exchange Commission to enhance the US #Treasury market’s resiliency considering recent episodes of stress. The SEC takes opportunities to tighten rules on #PrivateFunds (PF) and #PropTrading Firms (PTF) as well as #LiquidityProvider to #Crypto #DigitalAssets During the Volcker implementation, regulators discouraged banks from “flipping-a-switch”, i.e. classify a trade as dealing with “counterparties” when they want to escape the fiduciary responsibilities for a “client”; and classify a trade as dealing with “clients” for the ease of qualifying for exemptions. Banks spun off their proprietary trading business to PF and PTF where they are run by ex-Partners/ Managing Directors. Banks provide fundings to many PF and PTF that acted like their extended arms. Using dealer registration as a regulatory tool to tell the PF and PTF not to mess around with the US Treasury is totally understandable. I, however, have a hard time understanding why registered investment advisers #RIA are NOT excluded from this dealer rule. Comm. Hester Peirce raised many legitimate questions/ concerns, e.g. conflicts between dealer obligations and the challenges to carrying out the adviser’s fiduciary duties. In essence, the SEC is telling those RIA that are within the scope to pick either one. Or else they’ll be under scrutiny for “not as a part of a regular business.” To comply with Qualitative Test, one would need an automated system to verify if activities may consider as “engage in a regular pattern of buying and selling securities that has the effect of providing liquidity” and if “express trading interest to other market participants through electronic or other means, such as by posting quotes, orders, or indications of interest” or “generate a primary source of revenue from their trading activities, such as by earning spreads, fees, rebates, or other compensation.” Quantitative test does offer a way out for smaller firms (a person is a dealer if providing liquidity to other market participants if executed securities txns >= $1 billion or Government securities txns >= $100 billion in any calendar quarter). Set your limits, whilst Sovereign Wealth Funds (SWF) would likely exceed that. The final rule has an exclusion for “central banks,” “sovereign?entities,” and “international financial institutions.” Comm Crenshaw and Comm Uyeda have interesting exchange of arguments about statutory authority of the SEC in this rule.
