Starboard Value and Pfizer clash On Sunday, Starboard Value announced a $1bn investment in Pfizer, which has market cap of $167bn. The activist investor reach out to former CEO Ian Read and CFO D’Amelio to assist in improving Pfizer’s performance but these executive later decided not to participate due to threats of potential litigation, clawback of compensation and unvested stock unless they support the current CEO Albert Bourla??. This situation has led to tension with Starboard accusing Pfizer of mismanagement, particularly re it’s $92bn COVID-19 windfall, which they believe was poorly spent on costly $70bn acquisitions (Seagen for $43bn, Biohaven for $13bn, Arena for $6bn, GBT for $5bn and Trilium for $2bn). Starboad is advocating for a special committee to investigate the circumstances surrounding Read and D’Amelio’s withdrawal. Great insights from #PTMGMalta2024! I couldn't agree more, especially with the point on trademarks often being a last-minute consideration in mergers and acquisitions within the healthcare sector. Lisa Dellamura’s presentation was eye-opening, especially regarding the need for robust IP strategies for rising biotech companies. Her insights on the typical gaps in trademark registrations and chain-of-title issues are crucial reminders for us all as IP attorneys. While the biopharma industry's dealmaking totals have yet to eclipse the heady highs of 2019, mergers and acquisitions were back on the menu in a big way in 2023. Last year, the value of the top 10 M&A deals in the biopharma industry came to $115.8 billion, outranking prior sums from 2022, 2021 and 2020, which came to $65 billion, $53 billion and $97 billion, respectively. Five deals included in this report feature drugs that were previously approved or that gained approvals in 2023.
