Major Update on Rule 605 of Regulation NMS by SEC Today, the SEC made a significant announcement regarding the adoption of rule amendments under Rule 605 of Regulation NMS, aimed at updating the disclosure requirements for order executions in national market system (NMS) stocks. These amendments are designed to increase transparency in the equity markets, allowing investors to make more informed comparisons between brokers. Key changes include the expansion of the scope of entities required to produce monthly execution quality reports, now encompassing broker-dealers with a larger number of customer accounts and single dealer platforms. The definition of "covered order" has also been broadened to include orders placed outside regular trading hours, those with stop prices, and certain short sale orders. Additionally, the amendments introduce modifications in how orders are categorized by size and type, including provisions for fractional share orders, odd-lot orders, and larger-sized orders. There’s also a refinement in the time-to-execution categories, mandating that average time to execution be measured in milliseconds or finer for all orders. New statistical measures of execution quality such as average effective divided by quoted spread and size improvement statistics have been added to the reporting requirements. Furthermore, all entities subject to Rule 605 are now obligated to make a summary report of execution quality publicly available. These changes are expected to facilitate a more transparent and competitive market environment, becoming effective 60 days post-publication in the Federal Register with a compliance date 18 months thereafter.

This consultation paper, if implemented, significantly simplifies the DP operations of stock brokers. Today, when a client buys stock, it gets credited to the broker pool account, and then the broker credits it to the customer. In the new way proposed, the shares will get directly credited to the customer's demat. Even without this regulation, we're probably the safest financial market in terms of the security of customer assets, given that everything is in the customer's own demat. This regulation will further enhance that.
