Contract disputes between suppliers and wholesalers are no fun for either side; trust me, I've been there. They are not productive, are a source of stress, and cost a fortune in legal fees to litigate. In the recent legal case between Anderson Valley Brewing Company (AVBC) and Harbor Distributing, we saw a significant ruling that underscores a crucial point for our industry: the need for strong, balanced contracts between craft breweries and distributors. For craft breweries, protecting against unfavorable distribution relationships is essential. Yet, it's equally important to recognize that wholesalers need protections to justify their investment in your brand. This case highlights a critical truth: contracts are not just a formality to quickly sign and move past; they are the bedrock of strong, productive relationships built on trust. Craft breweries must ensure their distribution agreements provide necessary safeguards against the potential for a distributor who brand collects and lets the brand die off, while also offering wholesalers the security they need to protect their investment and grow your brand. Clear, balanced contracts can prevent disputes and foster a collaborative environment where both parties thrive. Any relationship is healthiest and most productive when both parties feel empowered, secure, and trusted. If you're trying to one-up your partner right out of the gate, it sets a bad tone for the future of the relationship. These contracts should be beneficial and protective to both sides. The AVBC case serves as a reminder of the potential pitfalls in distribution relationships and the importance of strong and effective contracts. If you're not operating with strong and secure contracts, you're putting your brand's future at risk in the market. Unsure of what your distribution contracts should look like and how strong they currently are? Feel free to reach out! We have the best distribution contract lawyers in the business on our team who have proven time and again that they are worth their weight in gold. In the increasingly competitive world of breweries, cideries, distilleries and wineries, safeguarding your business’s intellectual property (IP) should be a top priority. The unique flavors, brewing techniques, branding and even the names of your products are assets that set you apart from competitors. Protecting these assets can help ensure that your business can grow and thrive in a crowded marketplace. One of the first steps that you can take to protect your IP is to trademark your business’s name, logos, any unique product names and other marketing resources that set you apart from your competition. And while recipes are generally not patentable, you can protect your brewing, distilling or winemaking techniques through contracts designed to safeguard trade secrets. Ensure that employees understand the value of these secrets and the importance of confidentiality by implementing strict policies and non-disclosure agreements. #LiquorLawyer #Entrepreneurship #LegalServices #Law #DrinksIndustry #Regulations #AlcoholCompliance #WineIndustryAdvisor #AlcoholIndustryAdvisor #BeverageIndustry #SpiritsIndustry #AlcoholIndustry
