Carson Proxy has been retained by Exro Technologies Inc. for the upcoming special meeting of its shareholders to be held on Thursday, April 4, 2024. This business combination is expected to strengthen Exro's technology offerings while accelerating revenue growth and Exro's path to profitability. Following completion of the Transaction, the combined company (the "Combined Company") will continue to operate under the name Exro Technologies Inc. and trade on the Toronto Stock Exchange (the "TSX") under the ticker symbol "EXRO". It looks like 2024 could be a bumper year for industrial related businesses with Next Capital Private Equity looking to offload its majority holding in Eptec Group. Eptec Group provides engineering and asset life extension services to critical infrastructure and assets. Think recoating submarines and marine assets or rehabilitating concrete footings. The business has grown through strategic acquisitions under Next to be pushing around $170m rev and $30-$40m in earnings. Given the rhetoric around Austal it will be interesting to see where Eptec Group lands and whether we continue to see a nationalising or broadening of critical national infrastructure. Any buyer looking at Eptec Group who is not already on contract with the defence department would be foolish not to engage with someone like Mark Stevens and Arican Advisory and Capital. It would appear to me that getting your ducks in a row early when considering any acquisition with any exposure to national security or infrastructure is even more important now than ever before.
