Unless there's a significant edge, you will end up competing with a lot of players . 2) Check if your Franchise model can deal with less labour force . labour management has been the biggest issue with respect to running business, so the lesser the labour the lesser headaches you will have. 3) The most important factor is - What problem is your franchisor solving? If it is just yet another me too player in the industry , sooner or later some one will beat them by getting a better faster and cheaper product/service .

Having helped many clients either start/expand their own franchise operation, or become part of someone else's, together with my own personal experience of being part of a franchise (in my time prior to entering the legal profession), I can confidently state that there are so many factors that impact this type of arrangement that the utmost care needs to be taken in considering every step you take. Spending time together is so key to finding out if this is the right opportunity for you, yes look at all the quantifiable numbers you can find, but get to know the people you will be working with, definitely visit existing franchisee,s look at reviews remember you will be working together for a long period of time its like choosing a business partner or selecting a team for a incredibly important project, take your time, seek expert advice, see if the franchisor has done any live broadcasts, podcasts or vidoes, if a picture paints a 1000 words a video paints a million!!

Hey Aaron Some great points. One point for consideration, by any potential Franchisee: is does the brand have Global brand equity or what level of Local brand equity does it have? Having managed many different franchised propositions. This point is critical. Because you can pay for a great system and concept. However, if there is poor or no brand equity, one really needs to consider what you are paying for in Franchise fees. As you will need to compensate in additional marketing expenditure and time taken (costs) to establish the brand.

Quanto mais franqueados você ligar e conversar, melhor vis?o real você terá do negócio.

I cannot emphasise enough how important this is. Reviewing the franchise agreement should be part of your due diligence process. The purpose of doing so is not to renegotiate it - franchisors are highly unlikely to make concessions. The purpose is to understand what you are getting into. Get advice from a lawyer experienced in franchising. It is so important! Not just someone who has read a franchise agreement once or twice but who is an expert and deals with franchise agreements on a regular basis. It will be cheaper for you and you will get the right advice!

1000% use a franchise attorney, not a contract attorney who occasionally reviews FDD. Once you have determined, you would like to move forward with the franchise, have a Franchise Attorney run through the FDD, franchise agreement and Area development agreement. by not using a Franchise Attorney, you’ll spend thousands more in retainer fees while an attorney redlines language that is standard in a FA/ADA. ….. added thought: in my experience, most accountants provide uneducated advisory when it comes to buying a franchise. Unfortunately, there are no specific laws governing the franchise businesses. Don't be pressured into paying a token amount before reading and discussing the agreement. Consult a lawyer to understand your liabilities under the franchise agreement. Understand the exit plan and if any cost is associated with it. Ensure understanding of the exit plan and associated costs, and carefully examine the brand support deliverables outlined in the agreement.

A legal agreements are full of legal jargons, you must not hesitate to discuss each and every word in common langauge and try to amend wordings you understand before signing it.

Validate the Operations Manual - the most critical ‘document’ you must be given access to on signing the Franchise Agreement or during Induction training. You may need to sign an NDA beforehand. Still, you should evaluate the quality of the information provided in the manual and whether it offers sufficient operational detail for setting up your new franchise. It will indicate the quality of support you will receive, covering every aspect of setting up, running and growing your business to help you succeed. Ask when the manual was last updated and whether franchisees are asked for input. The manual must be engaging and enable you to motivate and retain team members, so they participate in continuous improvement of your franchise.

You should also fully evaluate the marketing capabilities of the potential brands under consideration.Why? Once you are awarded a territory, you will be paying into a marketing fund controlled by corporate. If their customer facing website is less than stellar, if their social media efforts are not up to par with the competition, then you will be frustrated and fail to realize your true potential as a franchisee.

Before sealing the deal, validate the franchise opportunity rigorously. Evaluate financial viability, market potential, competitive edge, and customer demand. Para evaluar una franquicia, solicite la informacion que debe relevar al franquiciante, de manera de no investigar datos que no tengan que ver con el modelo. Cuando el potencial franquiciado hace su propia evaluacion, sin los elementos correctos, puede cometer un error evluando en forma equivoca y arrojar un resultado o muy alentador o muy pesimista, que no concuerde con la realidad. El Franquiciante podra ayudar y apoyar con eso, teniendo en cuenta que este no puede hacer promesas que no podra cumplir o confirmar que asi vayan a desarrollarse. En algunos paises se entregan P&L financiero con inflaciones de mas del 50%, siendo estos mas una expresion de deseo que una posibilidad real.

Always, always, always validate the concept with existing franchisees. Their contact information will be included in the back of the FDD and you should speak to a mix of different owners to understand the "boots on the ground" perspective. This is one of the most critical pieces to your discovery process with a franchise brand.

Do NOT expect to negotiate the franchise agreement, especially on the initial fee or royalty aspects. Most brands will not negotiate their agreements whatsoever, so if the initial fee or royalty percentage are dealbreakers for you then you should not waste your time looking at that brand.

In my experience, if a franchisor is willing to negotiate royalty, franchise fee, or any other economic metric (just to get you to sign) it typically means they’re having trouble finding Franchisees. However, there are certain cases where it might make sense…. Ie, franchisor reduces the franchise fee, but pay all fees upfront in a multi unit deal; Reduce the royalty by a certain percentage based on the amount of months the franchisee beats their development schedule (only do this if that franchisee has a proven track record of surpassing their development agreements.

In my experience it’s unlikely that a franchisor will adapt the contract or fee for one franchisee! There has to be a set structure throughout the franchise, so typically all franchisees are going to have the same contract. If a franchisor is willing to drop their initial fee I would question why that is… the fee has been set for a reason.

There are set of expectations linked with a Brand and one should not launch a Brand untill one is ready to meet Brand image. No owner would like to dilute their Brand ever. So prepare everyone in your team as per Brand's guidance.

The most successful franchisees historically are the ones who follow the Franchisor's guidance the closest. Be willing to do what the Franchisor says even if you disagree or don't understand why. A whole team of experts has made it that way for a reason. If you go your own way or intermingle your own methods you dilute the brand's power you just bought into and they're no longer able to support you or take any ownership for your performance. Stick to the plan! And eventually you'll begin to understand why it is the way it is.

I cannot stress how important it is to remain motivated throughout the setup phase. I have seen franchisees avoid vital tasks and delay their own launch because of it. If you are struggling - you must confide in your franchisor. In my experience, there isn't a franchisor out there who isn't invested in your success. Consistent communication, asking for help when you're stuck and maintaining a resilient mindset are absolutely vital in any business - especially a franchise. Starting a business is one of the most beautiful, scary, stressful and rewarding things you can ever do professionally, so it's vital that you don't do it alone. Accept the support you've paid for and you'll fly!

Beware of confirmation bias. In many of the steps cited in this article, you will tend to see what will confirm your feelings about the franchise. You must look for opinions and assessment other than that provided by the franchisor. This could include:- 1. Historical profitability data. If the franchisor won’t provide this, then ask yourself why not. If the franchisor doesn’t know the historical profitability of its franchisees then how can they possibly promise a profitable opportunity? 2. Talk to at least 3 former franchisees. Their contact details are in the Disclosure Document. If they are supposedly unavailable due to privacy concerns - run a mile - the franchisor is hiding something; and 3. Talk to three existing franchisees.

There are never guarantees of success, but you de-risk your business through having an established brand to trade with and a support structure and operating model that should have been tried and tested. Do not think that a franchise business builds itself, success comes from lots of hard work and being the local face of your brand. Es importante a la hora de tomar la decison, de que sea en algo que me guste, que pueda atenderlo, y que la inversion me sea accesible. Con eso resuelto, busque en el mercado, averigue reputacion de la marca y como ha evolucionado su modelo, intente hablar con franquiciados de la red, y LEA bien el contrato y manuales.
