What do chocolate, books, and wellies have in common? The answer might surprise you – it's the EUDR. The EU Deforestation Regulation (EUDR) aims to prevent deforestation both inside and outside the EU, and to hold companies accountable. Just this morning, the European Parliament voted to postpone the effective date of the EUDR by one year. The EUDR will now generally apply from December 30, 2025, for most companies, and from December 30, 2026, for SMEs. Additionally, during a rather chaotic session, a last-minute change was proposed including?the category of?no-risk countries as countries of origin, resulting in simplified due diligence obligations. The EUDR has a broader scope of application than one might expect. Products that include cattle, cocoa, coffee, palm oil, rubber, soy, and wood can fall under the EUDR. Companies that place or make available products containing such relevant commodities on the Union market must comply with specific due diligence obligations. Therefore, it is advisable, especially for SMEs not yet affected by supply chain laws, to review their own products and supply chains now. Virtual share option programs (VSOPs) have long been the go-to choice for German employee participation schemes in exit-driven startups. In contrast, equity-based programs have often been sidelined due to governance challenges prescribed by statutory law and onboarding costs faced by the startups, founders, and investors. This market practice is prevailing despite the tax advantages they would offer, such as lower taxation and a possible wage tax deferral upon share issuance under the revised section 19a of the German Income Tax Act (Einkommensteuergesetz – EStG).
