As recent case law demonstrates, timely compliance with notice provisions in commercial liability policies is essential for maintaining coverage, as failure to do so can lead to significant financial repercussions. Notice provisions are among the most important, yet often overlooked, clauses in commercial liability policies. In particular, "claims-made" policies have become the standard for professional liability and directors & officers (D&O) coverage. These policies generally require that notice of a claim be provided during the same policy period in which the claim was first made against the insured for coverage to apply. Failure to strictly comply with these notice provisions—especially the timing requirement—can result in a denial of coverage. It’s also essential to understand that a "claim" is not limited to the filing of a lawsuit. Claims can arise earlier, such as when a demand letter or other written allegation of wrongdoing is received. Waiting for that demand to escalate into a lawsuit could leave insureds without coverage. A recent case, Match Group, LLC v. Beazley Underwriting Limited (No. 23-1085-cv, 2d Cir. Aug. 13, 2024), involving Tinder in the U.S. Court of Appeals for the Second Circuit, illustrates this point. While it may be tempting to fault insurance companies for using notice provisions to avoid paying claims, this perspective is neither accurate nor fair. For insurers, timely notice is critical for managing potential exposure. It allows them to investigate early, reduce the risk of fraudulent claims, develop an effective defense strategy, and mitigate potential damages. Additionally, claims-made policies are typically less expensive than occurrence-based policies, largely because the timely notice requirement enables insurers to better assess and limit their liabilities. In short, timely notice is a fundamental part of the agreement between insureds and insurers. Insureds must remain vigilant and adhere to these provisions to ensure they maintain coverage.
