    When managing a Special Purpose Vehicle (SPV), navigating the legal and regulatory landscape is crucial. One of the most important aspects is adhering to securities regulations—particularly Regulation D, which provides an exemption allowing SPVs to raise capital and sell securities without SEC registration. A key component of this process is Form D. Filing Form D is necessary to establish a legitimate offering under Regulation D, ensuring transparency with regulators and compliance with securities laws. The SEC mandates that companies and investment funds file this form when selling securities without registering under the Securities Act of 1933. The filing applies to exemptions under: Rule 504 of Regulation D Rule 506 of Regulation D Section 4(a)(5) of the Securities Act If your SPV is selling securities without SEC registration under these exemptions, timely filing of Form D is non-negotiable. The form provides essential details to the SEC, including the names of principals, the amount of capital raised, the industry involved, and more. Ensuring consistency between your Form D and your Private Placement Memorandum (PPM) is critical to avoid any red flags. Even large companies have faced consequences for failing to file Form D correctly. In 2019, Facebook (Meta) settled a $100 million penalty with the SEC for multiple violations, including failing to file Form D during its acquisition of Instagram. This case underscores the importance of getting it right. For SPV General Partners, the SEC allows filing either before or after closing. However, if you file post-close, the form must be submitted within 15 days of the first sale of securities. Notably, there’s no filing fee for Form D. Make sure to gather accurate details about your SPV before filing, and double-check the information to avoid costly mistakes. Annual updates are required if your offering lasts over a year, but exemptions apply to certain funds that have completed fundraising. ??
